Fund Management Licensing Regime Part 2: Registered Fund Management Company (“RFMC”) 新加坡基金管理许可制度第二章：登记基金管理公司

Introduction
简介

A RFMC may carry on business in fund management with no more than 30 qualified investors (of which no more than 15 investors may be funds or limited partnership fund structures) and the total value of assets managed must not exceed S$250 million.

Criteria
资格条件

To qualify for registration as a RFMC, one must:
登记基金管理公司登记资格条件如下：

1. conduct substantive fund management activity in Singapore (e.g. portfolio management, investment research or trade execution);
   在新加坡开展实质性基金管理活动（例如：投资组合管理、投资研究或交易执行）；
2. satisfy the Monetary Authority of Singapore (“MAS”) that its shareholders, directors, representatives, employees, and the company itself, are fit and proper;
   向新加坡金融管理局（“新加坡金管局”）证实其股东、董事、代表、员工和公司本身均符合作为适当人选的标准；
3. ensure that key individuals (e.g. the CEO, directors and relevant professionals) have adequate experience that is relevant to the activities of the company;

4. engage a minimum of 2 full-time Singapore-based employees each with at least 5 years of relevant experience;

5. be a Singapore-incorporated company and have a permanent physical office space in Singapore;

6. meet the base capital threshold requirement of S$250,000 at all times;

7. ensure that it has adequate compliance arrangements and a risk management framework; and

8. put in place internal audit arrangements commensurate with the scale, nature and complexity of its operations.

RFMCs are also strongly encouraged to maintain professional indemnity insurance. MAS may also require an applicant to procure a letter of responsibility from its parent company or related company.

Registration
登记注册

To register to be a RFMC, the following documents are required:

1. MAS’s Form 22A (Notice of Commencement of Business as a Registered Fund Management Company);

2. signed declaration by a director (as provided in Form 22A);

3. the company’s ACRA profile;

4. the company’s shareholding chart; and

5. the company’s organisational chart.

The processing time for a RFMC application may take up to 6 months.
